Referral Agreement

Last updated: 6 August 2026. This Referral Agreement (the "Agreement") governs your participation in the Elevale Referral programme (the "Programme"). Elevale is a trading name of Saint Financial Group Limited. In this Agreement, "Elevale", "we", "us", and "our" mean that registered company trading as Elevale. By enrolling in the Programme and accepting this Agreement (acceptance is recorded with a termsAcceptedAt timestamp and a terms_version), you agree to be bound by it. If you do not agree, do not enrol or continue in the Programme.

1. Incorporation of Terms of Service and Privacy Policy

By accepting this Agreement you also agree to our Terms of Service and Privacy Policy, each of which is incorporated into this Agreement by reference (including the Data Processing Agreement incorporated into the Terms, to the extent it applies to personal data we process about you as a Programme participant).

This incorporation applies even if you never use the Elevale platform as a customer or workspace user and participate only as a referrer (for example, by sharing a referral link and receiving commission). You must still comply with the Terms of Service and Privacy Policy to the extent they apply to your relationship with us, including how we process personal data about you as a Programme participant and how you may promote Elevale.

If there is a conflict between this Agreement and the Terms of Service on a matter specific to the Programme (commission, eligibility, payouts, or referral conduct), this Agreement prevails for that matter. For all other matters, the Terms of Service and Privacy Policy apply.

2. Programme overview

The Programme rewards individuals and businesses who refer new customers to Elevale when those customers sign up directly on the Elevale platform (not as clients under a Partner's white-label / client signup flow). Your referral share links use patterns such as elevale.app/?partner={your-slug} (optional campaign &sub= parameter). Links to recruit other referrers use elevale.app/refer?partner={your-slug}. We attribute platform-direct signups where our systems record a valid Programme referral from your link.

Participation in the Programme does not require you to purchase a subscription or use workspace features, but it does require an Elevale account for enrolment, payout setup, and Programme administration. The Referral programme is separate from the Partner Agreement (white-label resale).

3. Commission structure

  • Tier 1 (direct referrals): 40% of eligible subscription revenue from customers you refer, calculated on plan price before VAT.

  • Tier 2 (network): 5% of eligible commission earned by referrers you recruit, when you are recorded as their parent referrer.

  • Qualification hold: commissions become payable after a 45-day hold from the qualifying payment.

  • Minimum payout: £50 qualified balance required before a monthly payout is issued.

Rates, hold periods, and minimums may be changed for new enrolments or on notice via an updated terms_version and Programme configuration. Commission applies only to eligible direct Elevale subscriptions. Billing under a Partner's client accounts (white-label / Partner client signup) is excluded.

4. Eligible referrals

  • Referred customers must sign up on the Elevale platform through your Programme referral link (or equivalent tracked attribution our systems recognise as a Programme referral), typically within the referral attribution window after they click your link.

  • Signups via a Partner's client signup flow: for example /auth/signup?ref={partner-organization-id}, a Partner custom domain client signup, or other Partner-attributed client onboarding: are not eligible for Programme commission.

  • Self-referrals and fraudulent or artificial signups are disqualified.

  • Customers who enrol as Elevale Partners (and move onto Partner / white-label billing) may cease generating further Programme commission on that relationship.

  • Partner client signups and Referral programme referrals are separate programmes. A customer cannot be attributed to both for commission purposes.

5. Campaign links and tracking

You may create tracked campaign links with sub-IDs (sub query parameter) for attribution reporting. Elevale may log clicks, signups, and commission events for Programme administration, payout calculation, and fraud prevention, as described in our Privacy Policy.

6. Payouts and tax

  • Payouts are processed monthly via Stripe (Global Payouts for UK/EU referrers where available, Stripe Connect Express for US referrers).

  • You are responsible for providing accurate tax and bank details and for reporting commission income to HMRC or your local tax authority.

  • Elevale may issue annual tax statements where required.

  • We may withhold, reverse, or adjust commissions that are reversed by the customer, disputed, charged back, or later found ineligible.

7. Conduct

You must promote Elevale honestly and comply with all advertising, consumer, privacy, and electronic-marketing laws that apply to your activities in every country where you promote or contact prospects. Because the Programme is global, this includes (without limitation, where applicable to you):

  • UK and EU rules on unfair commercial practices, PECR / ePrivacy, and UK GDPR / GDPR marketing requirements

  • US rules including the FTC Endorsement Guides, CAN-SPAM, the Telephone Consumer Protection Act (TCPA), and applicable state telemarketing / mini-TCPA laws

  • Canada's Anti-Spam Legislation (CASL) and other local anti-spam or telemarketing laws where you operate

You must not use spam, misleading claims, or paid search bidding on Elevale brand terms without written approval. You must clearly disclose material connections when you endorse or promote Elevale.

  • You must not offer cash, gifts, rebates, or other incentives to prospective customers in exchange for signing up through your referral link.

  • You must not misrepresent Elevale pricing, features, guarantees, or your relationship with Elevale.

8. Suspension and termination

Without cause. Either party may end your Programme participation for any reason by giving 30 days' written notice (email is sufficient). On termination without cause, accrued qualified commissions for legitimate referrals remain payable subject to this Agreement; pending or disputed amounts may be withheld or reversed.

For cause. We may suspend or terminate your Programme participation immediately for breach of this Agreement or the Terms of Service, fraud, unlawful marketing, brand misuse, or conduct harmful to Elevale or the Programme. If we terminate for cause, you forfeit unpaid commissions that have not yet been paid out (including amounts still in the qualification hold), except where prohibited by law. Commissions we have already paid are not automatically clawed back solely because of for-cause termination, but we may still reverse or recover amounts that were paid in error, obtained through fraud or ineligible referrals, or otherwise adjustable under section 6. Upon any termination you must stop using referral links and Elevale marks.

You may also stop participating by contacting us. Ending participation does not cancel obligations that by their nature should survive (including confidentiality, tax responsibility, clawbacks, and liability for prior breaches).

9. Limitation of liability

To the maximum extent permitted by law, Elevale is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, arising from this Agreement or the Programme. Our total aggregate liability arising from or relating to this Agreement is limited to the lesser of (a) three (3) times the commissions paid or payable to you in the calendar month immediately before the claim, and (b) GBP £1,500. Nothing limits liability that cannot be limited by law (including fraud, or death or personal injury caused by negligence).

Any claim arising out of this Agreement must be commenced within 12 months after you first become aware (or ought reasonably to have become aware) of the facts giving rise to the claim. You agree not to bring any claim after that period, and any such claim is permanently barred, except where a longer period is required by law and cannot be shortened by contract.

10. Changes

We may update this Agreement by posting a revised version (and, where applicable, a new terms_version). Changes are effective immediately when posted, unless we state a later effective date. Continued participation after the effective date constitutes acceptance of the updated Agreement where permitted by law. We may also update the incorporated Terms of Service and Privacy Policy as described in those documents.

11. Governing law and disputes

This Agreement applies to participants worldwide. It is governed by the laws of England and Wales, without regard to conflict-of-law rules. The courts of England and Wales have exclusive jurisdiction, except that either party may seek injunctive or other equitable relief in any competent court. Before formal proceedings, parties agree to attempt good-faith resolution by contacting contact form.
