Last updated: 7 July 2026. These Reseller Terms of Service (the "Reseller Terms") govern your participation as a reseller partner of Elevale, operated by Saint Financial Group Limited ("Elevale", "we", "us"). By completing reseller signup and accepting these terms (acceptance timestamp recorded as termsAcceptedAt), you enter a binding B2B agreement. If you do not agree, do not use the reseller platform.
These Reseller Terms expand on the three commitments shown at reseller signup: (1) you resell under your own branding; (2) you are responsible for billing your clients and first-line support; and (3) Elevale provides the platform infrastructure and reseller support as defined in this agreement. Your clients contract with you; Elevale is the platform provider, not a party to your client contracts.
1. Partnership and relationship
You are an independent B2B partner. Nothing here creates an employment, franchise, agency, or joint-venture relationship.
You may white-label and resell the platform under your own brand (app name, logo, colours, custom domain) subject to these terms.
You do not acquire ownership of Elevale software, IP, templates, underlying technology, or marketing material.
You have no authority to bind Elevale, make warranties on Elevale’s behalf, or negotiate custom platform terms unless agreed in a separate written agreement.
Elevale remains the platform provider; you own the commercial relationship with your end clients.
2. Eligibility and onboarding
You must be a registered business with a valid legal entity name, country, and contact details.
Signup requires acceptance of these Reseller Terms; the acceptance timestamp is recorded (termsAcceptedAt).
One organisation per reseller account unless Elevale approves otherwise.
You confirm you have authority to enter this agreement on behalf of your business.
Elevale may approve, reject, or suspend reseller accounts at its discretion.
3. White-label rights and restrictions
Permitted
Custom branding: app name, logo, favicon, colours, and footer legal name.
Custom domain (CNAME) for a fully branded client experience.
Setting client-facing Privacy Policy and Terms of Service URLs shown in the app footer.
Referral and custom-domain signup links for legitimate client acquisition.
Restricted
Pricing floor: you must not charge clients less than Elevale’s base plan prices (see section 7). The base price is the wholesale/application fee floor; your client price must be at or above it.
You must not remove or disable required security controls (e.g. mandatory MFA).
You must not misrepresent features, pricing, AI capabilities, uptime, or compliance certifications.
You must not reverse engineer, copy, scrape, or build a competing product from the platform.
You must not sublicense platform access outside assigned client workspaces/licenses.
Elevale or Saint Financial Group branding may still appear in backend/admin contexts unless otherwise agreed in writing.
4. Client relationship and support
You are solely responsible for the commercial relationship with your clients.
You provide first-line support: onboarding, training, account issues, and billing queries.
Elevale provides platform/reseller support only as defined here, not end-user support unless separately agreed.
You must provide each client with your own Privacy Policy, your own Terms of Service, and clear support/billing contact details.
You must not instruct clients to contact Elevale for issues you should handle.
Disputes, refunds, and service-level promises to clients are primarily your responsibility, subject to platform constraints.
5. Billing model A, Stripe Connect (automated)
You must connect a valid Stripe Connect account and keep it in good standing.
Client subscriptions are billed through your Stripe account.
Elevale deducts a platform/application fee equal to the base plan price (Foundation £11.99, Business £17.99, Professional £23.99 per user/month, plus any agreed annual equivalents). See base price schedule in section 7.
You keep the markup above base price, minus Stripe processing fees and chargebacks.
You set client pricing via configurable markup/custom pricing (never below base price).
You are responsible for Stripe onboarding/KYC, client invoicing/receipts, failed payments, dunning, refunds, and tax/VAT on client charges.
You must keep product/pricing sync accurate when markup changes.
14-day client trials may be offered; you are responsible for trial communication and cancellation before billing where applicable.
Public client signup is only permitted when Stripe Connect is active and public signup is enabled.
6. Billing model B, Self-billing (license pool)
You purchase a license pool directly from Elevale (wholesale).
You assign licenses to client workspaces manually.
You bill clients independently (own invoices/contracts); there is no automated client payment flow via Elevale.
Unused/unassigned licenses remain your commercial risk.
License quantities, renewals, reductions, and non-payment are governed by Elevale’s wholesale billing terms.
Public signup is disabled in this mode, you control client provisioning.
You may not activate more users/workspaces than licensed without purchasing additional capacity.
7. Platform fees, pricing changes, and margins
Elevale may change base platform prices, plan features, or fee structure on notice.
Application fees / wholesale license costs adjust accordingly.
You are responsible for updating client pricing and communications after platform price changes.
Markup is your commercial freedom, but client prices must comply with applicable advertising/pricing laws and must not fall below Elevale base prices.
No guarantee of fixed margin; Stripe fees, refunds, and chargebacks reduce net revenue.

Foundation: £11.99 per user/month
Business: £17.99 per user/month
Professional: £23.99 per user/month
Enterprise: custom pricing under a separate order form
8. AI wallet and AI usage (reseller-specific)
You maintain an agency AI wallet that funds AI usage across your client workspaces.
AI usage is metered by provider/model/token; costs flow: base cost → Elevale markup → optional agency markup.
You are responsible for topping up the agency wallet, configuring auto top-up and payment methods, and monitoring spend across workspaces.
You must ensure clients understand AI is usage-based and not unlimited.
AI may be suspended when a client wallet balance is insufficient.
Workspace AI may be suspended when the agency wallet balance is insufficient.
You must not misrepresent AI outputs as professional or regulated advice (legal, financial, HR, medical, etc.).

9. Data protection and privacy
For end users on a white-label deployment, you are typically the data controller (or joint controller) for client personal data.
Elevale acts as a processor/sub-processor providing hosting, authentication, analytics, billing infrastructure, and AI processing.
You must publish a compliant Privacy Policy and have a lawful basis to onboard clients and their team members.
You must handle data subject requests from your clients where you are controller.
You must ensure client data entered into the platform is lawful and appropriately consented/shared.
You must enter into a DPA with Elevale where required (especially UK GDPR / GDPR). See Data Processing Agreement.
You must not upload unlawful content or special-category data without proper safeguards.
Public wiki/content published by clients remains your/your client’s responsibility.
10. Client onboarding and account management
You control workspace creation, invites, roles, and license assignment.
You must ensure users complete MFA and secure account setup.
You must not create fake users, share accounts, or circumvent seat licensing.
Referral links and custom-domain signup must only be used for legitimate client acquisition.
You are responsible for offboarding/removing users when client contracts end.
11. Acceptable use and compliance
You must ensure clients comply with acceptable use rules (no abuse, illegal content, platform misuse). See Acceptable Use Policy.
You must comply with anti-bribery, sanctions, and export controls.
You must comply with advertising/marketing law (including claims about AI and security).
You must comply with payment regulations applicable to your Stripe activity.
You must comply with tax/VAT rules in your jurisdiction and your clients’ jurisdictions.
Elevale may suspend reseller or client workspaces for security, legal, or abuse reasons.
12. Intellectual property
Elevale retains all platform IP, code, UI, default templates, and trademarks.
You receive a limited, non-exclusive, non-transferable licence to resell/use the platform during the term.
You retain IP in your own brand assets (logo, name, marketing).
You grant Elevale a licence to display your branding for service delivery (domains, emails, UI theming).
Feedback and suggestions may be used by Elevale without obligation.
13. Confidentiality
You must keep confidential: pricing mechanics, unpublished features, security details, roadmap, and other non-public Elevale information.
You must not disclose Elevale internals to clients except as needed for support and in a non-misleading way.
14. Marketing and representation
You may market the platform under your brand.
You must not claim Elevale partnership levels, certifications, or endorsements unless authorised in writing.
Case studies and testimonials must be truthful and permissioned.
You indemnify Elevale for misleading marketing or unlawful client promises you make.
15. Service availability and platform changes
The platform is provided as available unless a separate SLA exists.
Elevale may modify features, plans, AI providers/models, and infrastructure.
Scheduled maintenance and emergency downtime may occur.
Beta features are provided without warranty.
You should not guarantee uptime/performance beyond what Elevale formally commits to.
16. Suspension and termination
Elevale may suspend or terminate your reseller account if you breach these terms, fail wholesale/platform payments, have Stripe Connect issues, excessive chargebacks, or fraud signals, or misuse white-labeling or harm platform reputation/security.
On termination
You lose access to reseller admin and provisioning tools.
Client workspace access may be suspended after a notice period.
You remain liable for outstanding platform fees, AI wallet charges, and unpaid licenses.
Client data export window and the treatment of white-label domains/branding are as defined at termination; contact Elevale to arrange client data export.
You must not attempt to migrate clients off-platform using unauthorised copies/exports in breach of IP terms.
17. Liability and indemnity
Elevale’s liability is capped at the fees you paid Elevale in the prior 12 months, excluding fraud, death, or personal injury where non-excludable.
Elevale is not liable for indirect/consequential loss, lost client revenue, or bad AI outputs.
You indemnify Elevale for client claims arising from your T&Cs, support, pricing, or marketing.
You indemnify Elevale for privacy/regulatory breaches where you are controller.
You indemnify Elevale for client billing/refund disputes under Stripe Connect.
You indemnify Elevale for unlawful client content or misuse facilitated by you.
18. Payment disputes, chargebacks, and fraud
You bear Stripe chargebacks, disputes, and fraud losses on client transactions in Connect mode.
Elevale may offset platform fees/chargebacks from your payouts where permitted by Stripe Connect rules.
You must cooperate with fraud/security investigations.
19. Changes to terms
Elevale may update these Reseller Terms with notice (email/in-app).
Continued use after the effective date constitutes acceptance; material changes may require re-acceptance at login.
If you disagree, termination rights apply.
20. Legal boilerplate
Governing law: England and Wales; courts of England and Wales have exclusive jurisdiction.
Assignment: you cannot assign the partnership without Elevale’s consent.
Entire agreement / precedence: where they conflict, an executed Enterprise Order Form prevails, then the DPA, then these Reseller Terms.
Notices: via email to your registered address or in-app messages. Legal contact: contact form.
Force majeure: neither party is liable for delays caused by events beyond reasonable control.
Severability: if any provision is unenforceable, the remainder stays in effect.
